End-User License Agreement (EULA)

IMPORTANT—READ CAREFULLY: This End-User License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity, hereinafter "You" or "Licensee") and Intellisol LLC ("Intellisol" or "Licensor") for the software product(s) accompanying this EULA, which includes computer software and may include associated media, printed materials, and "online" or electronic documentation ("Software").

By downloading, installing, copying, or otherwise using the Software, You agree to be bound by the terms of this EULA. If You do not agree to the terms of this EULA, do not download, install, or use the Software.

1. DEFINITIONS

  • "Software" means the proprietary multi-AI agent systems and all associated files, data, and materials created and owned by Intellisol LLC, including but not limited to the source code, object code, documentation, and any updates or modifications provided by Intellisol.
  • "License" means the rights granted to You by Intellisol to use the Software in accordance with the terms of this EULA.

2. LICENSE GRANT

Subject to your strict compliance with all terms and conditions of this EULA, Intellisol hereby grants You a limited, non-exclusive, non-transferable, non-sublicensable, revocable License to install and use one (1) copy of the Software, for the sole purpose of Your internal evaluation and non-commercial testing. This License is not a sale of the Software or any copy thereof.

3. LICENSE RESTRICTIONS

You shall not, and shall not permit any third party to:

  • a) Sell, rent, lease, license, sublicense, distribute, or otherwise transfer the Software to any third party;
  • b) Modify, adapt, translate, or create derivative works based on the Software;
  • c) Reverse-engineer, decompile, disassemble, or otherwise attempt to discover or derive the source code, underlying ideas, algorithms, or trade secrets of the Software;
  • d) Use the Software for any commercial purpose, for-profit activity, in a production environment, or for the benefit of any third party;
  • e) Remove, alter, or obscure any copyright, trademark, or other proprietary notices contained in or on the Software;
  • f) Use the Software to develop any product or service that is competitive with the Software;
  • g) Use the Software for any unlawful purpose or in any manner that violates any applicable laws or regulations;
  • h) Publish or disclose to any third party any benchmarks or performance tests of the Software without Intellisol’s prior written consent.

4. OWNERSHIP AND INTELLECTUAL PROPERTY

You acknowledge that the Software is a valuable trade secret and the proprietary property of Intellisol. Intellisol LLC retains all right, title, and interest in and to the Software and all copies thereof, including all copyrights, patents, trade secret rights, and other intellectual property rights. No ownership rights are transferred to You by this EULA. You agree to protect the Software from unauthorized use, reproduction, or distribution. Any feedback, comments, or suggestions You may provide regarding the Software is entirely voluntary, and Intellisol will be free to use such feedback as it sees fit without any obligation to You.

5. TERM AND TERMINATION

This EULA is effective upon Your acceptance of its terms and shall continue until terminated. This License will terminate automatically and without notice from Intellisol if You fail to comply with any provision of this EULA. Upon termination, You must immediately cease all use of the Software and destroy all copies of the Software and its component parts in Your possession or control.

6. DISCLAIMER OF WARRANTIES

THE SOFTWARE IS PROVIDED "AS IS" AND WITH ALL FAULTS, WITHOUT WARRANTY OF ANY KIND. INTELLISOL LLC HEREBY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. INTELLISOL DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, OR SECURE. YOU ASSUME THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF THE SOFTWARE.

7. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL INTELLISOL LLC OR ITS SUPPLIERS BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA OR CONFIDENTIAL INFORMATION, BUSINESS INTERRUPTION, PERSONAL INJURY, OR LOSS OF PRIVACY) ARISING OUT OF OR IN ANY WAY RELATED TO THE USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF INTELLISOL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN ANY CASE, INTELLISOL'S ENTIRE LIABILITY UNDER ANY PROVISION OF THIS EULA SHALL BE LIMITED TO THE GREATER OF THE AMOUNT ACTUALLY PAID BY YOU FOR THE SOFTWARE OR U.S. $50.00.

8. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Intellisol LLC and its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from Your use of the Software or Your breach of this EULA.

9. GOVERNING LAW AND JURISDICTION

This EULA shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. You agree that any legal action or proceeding arising out of this EULA shall be brought exclusively in the state or federal courts located in San Diego County, California, and You hereby consent to the jurisdiction of such courts.

10. GENERAL PROVISIONS

  • a) Entire Agreement: This EULA constitutes the entire agreement between You and Intellisol concerning the Software and supersedes all prior or contemporaneous understandings.
  • b) Severability: If any provision of this EULA is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
  • c) Waiver: No waiver of any breach of any provision of this EULA shall constitute a waiver of any prior, concurrent, or subsequent breach of the same or any other provisions hereof.
